Please read these Terms of Service carefully before using Recorly. These terms govern your access to and use of our platform and services. By using Recorly, you agree to these terms.
By accessing or using Recorly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms.
Recorly reserves the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify registered users of material changes via email at least 14 days before they take effect.
Recorly is a screen recording and video hosting platform that allows users to record, upload, host, share, and analyze video content. Features vary by subscription plan and may include:
• Browser-based and desktop screen recording • Video hosting and streaming • Share links and embed codes • Email capture gates and CTA overlays • Viewer analytics and heatmaps • Custom branding and domains • Team collaboration tools • Video collections and chapters
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.
Registration: You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration.
Account Security: You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@recorly.com of any unauthorized use of your account. Recorly is not liable for any loss resulting from unauthorized account access due to your failure to maintain account security.
One Account Per User: You may not create multiple accounts or allow others to use your account. Team plans allow multiple users under one organization.
Account Termination: You may close your account at any time by contacting support. We may suspend or terminate your account if you violate these Terms.
You agree not to use the Service to:
• Record, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene • Infringe on intellectual property rights of others • Upload malware, viruses, or other malicious code • Violate the privacy of others or collect personal information without consent • Send spam, phishing, or unsolicited commercial communications • Attempt to reverse-engineer, decompile, or access the Service's source code • Circumvent any security, usage limits, or access controls • Use the Service for high-volume automated scraping or data collection • Resell or sublicense the Service without written authorization
We reserve the right to remove content and suspend accounts that violate these policies, with or without prior notice for serious violations.
Subscription Plans: Paid plans are billed monthly or annually as selected at signup. Prices are listed in USD and are subject to applicable taxes.
Free Trial: Where offered, free trials automatically convert to paid subscriptions at the end of the trial period unless cancelled.
Payment Processing: Payments are processed by Stripe. By providing payment information, you authorize Recorly to charge your payment method for the applicable fees.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period. You will receive a reminder email before annual renewals.
Price Changes: We will provide at least 30 days' notice of price increases. Price changes take effect at the start of the next billing period.
Failed Payments: If payment fails, we will attempt to charge again within 7 days. After multiple failures, your account may be downgraded to the free tier.
14-Day Money-Back Guarantee: If you are not satisfied with a paid plan, you may request a full refund within 14 days of your initial payment or plan upgrade. Contact support@recorly.com with your request.
After 14 Days: We do not generally offer refunds after the 14-day period. Exceptions may be made at our sole discretion for extraordinary circumstances.
Annual Plans: For annual subscriptions cancelled after 14 days, we may offer a prorated credit for unused months, applied to your account balance.
Non-Refundable: Fees paid for add-ons, additional storage, or one-time purchases are non-refundable unless required by law.
Your Content: You retain all ownership rights to content you upload or create using the Service. By using the Service, you grant Recorly a limited, non-exclusive, worldwide license to store, process, and display your content solely to provide the Service to you.
Recorly IP: The Service, including its software, design, text, graphics, logos, and other materials, is owned by Recorly and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Feedback: If you provide us with feedback or suggestions, you grant us the right to use that feedback without restriction or compensation.
DMCA: We respect intellectual property rights. If you believe content on our platform infringes your copyright, contact us at dmca@recorly.com with the required DMCA information.
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.
By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
By You: You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days before permanent deletion, giving you time to export if needed.
By Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if: • You violate these Terms • We are required to do so by law • We reasonably believe your account is being used fraudulently • Your account poses a security risk to other users
Effect of Termination: Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination (including IP rights, disclaimers, indemnification, and limitations of liability) will remain in effect.
"As Is" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RECORLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECORLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
Cap on Liability: IN NO EVENT SHALL RECORLY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Recorly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:
• Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Content you upload, share, or create using the Service
Recorly reserves the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitrations are not permitted.
You waive your right to a jury trial for any claims related to these Terms or the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
